All terms in this Agreement extend to and are binding upon each subsidiary and affiliated entity.

All content, technology, software, algorithms, data models, brand assets, trademarks, service marks, trade names, logos, written materials, user interface designs, and underlying intellectual property featured on this website and across all Neptune Technologies platforms — including Odyssey, AutoCounsel, Neptune Wealth AI, and Neptune Forge — are the exclusive property of Neptune Technologies Inc. or its licensed partners. Unauthorized copying, reproduction, modification, distribution, reverse engineering, or commercial exploitation of any such material, in whole or in part, is strictly prohibited without the express prior written consent of Neptune Technologies Inc. Any violation of these intellectual property rights may result in civil and criminal liability.

2. Limitation of Liability & Hold Harmless

Your use of this website and all Neptune Technologies services is conditioned upon full compliance with applicable federal, state, and local laws and regulations. Neptune Forge services — including API access, infrastructure provisioning, and AI model deployment — are provided exclusively through Neptune Advisor Solutions LLC, a wholly-owned subsidiary of Neptune Technologies Inc. All references to "Neptune Technologies," "we," "our," or "us" in this Agreement include Neptune Technologies Inc. and its subsidiaries, affiliates, officers, directors, employees, agents, licensors, successors, and assigns, unless context expressly indicates otherwise. Each Neptune Technologies platform — including Odyssey, AutoCounsel, Neptune Wealth AI, and Neptune Forge (through Neptune Advisor Solutions LLC) — operates under its own platform-specific Terms of Service, Privacy Policy, and AI Usage Disclaimer. Users are required to review, acknowledge, and accept the applicable platform-specific terms prior to accessing or using any such service. Those platform-specific documents govern the data collection, processing, retention, and AI usage practices specific to each product and may impose additional obligations, restrictions, and disclaimers beyond those set forth in this Agreement. In the event of a conflict between this Agreement and any platform-specific terms, the platform-specific terms shall govern with respect to the subject matter of that platform. Platform-specific terms are accessible directly from each respective product’s website or application.

3. Disclaimer of Warranties & AI Services

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEPTUNE TECHNOLOGIES INC., NEPTUNE ADVISOR SOLUTIONS LLC, AND EACH OF THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THIS WEBSITE OR ANY NEPTUNE TECHNOLOGIES SERVICE. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH DAMAGES ARE SOUGHT AND REGARDLESS OF WHETHER NEPTUNE TECHNOLOGIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Neptune Technologies Inc., Neptune Advisor Solutions LLC, and each of their respective subsidiaries, affiliates, officers, directors, shareholders, employees, and agents from and against any and all claims, demands, losses, liabilities, costs, damages, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of this website or any Neptune Technologies service; (ii) your violation of any provision of this Agreement; (iii) your violation of any applicable law or third-party right, including any intellectual property or privacy right; or (iv) any content or data you submit or transmit through any Neptune Technologies platform. This indemnification obligation shall survive termination of this Agreement.

4. Regulated Services & Governing Law

ALL NEPTUNE TECHNOLOGIES SERVICES, INCLUDING AUTOCOUNSEL, ODYSSEY, NEPTUNE WEALTH AI, AND NEPTUNE FORGE (PROVIDED THROUGH NEPTUNE ADVISOR SOLUTIONS LLC), ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NEPTUNE TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE AI-GENERATED OUTPUTS, ANALYSES, SUMMARIES, AND RECOMMENDATIONS PRODUCED BY ANY NEPTUNE TECHNOLOGIES PLATFORM DO NOT CONSTITUTE AND SHALL NOT BE CONSTRUED AS LEGAL ADVICE, FINANCIAL ADVICE, INVESTMENT ADVICE, REAL ESTATE ADVICE, OR ANY OTHER FORM OF PROFESSIONAL OR REGULATED ADVICE. USERS ARE STRONGLY ADVISED TO CONSULT QUALIFIED LICENSED PROFESSIONALS — INCLUDING ATTORNEYS, FINANCIAL ADVISORS, AND REAL ESTATE PROFESSIONALS — BEFORE MAKING ANY DECISIONS BASED ON AI-GENERATED CONTENT.

Neptune Forge services are offered through Neptune Advisor Solutions LLC. Neither Neptune Technologies Inc. nor Neptune Advisor Solutions LLC is a registered investment advisor, broker-dealer, law firm, or licensed real estate brokerage. AutoCounsel is an AI workflow infrastructure tool designed to assist legal professionals and does not constitute the practice of law. Neptune Wealth AI provides analytical tools to assist in financial analysis but does not manage client assets or serve as a registered investment advisor under applicable securities law. Odyssey is a real estate technology platform and does not provide licensed real estate brokerage or transaction services. Nothing on this website or within any Neptune Technologies platform constitutes an offer to sell or a solicitation of an offer to buy any security.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this Agreement or the use of any Neptune Technologies service shall be subject to the exclusive jurisdiction of the federal and state courts located in the State of Delaware. You hereby irrevocably waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts. Neptune Technologies Inc. reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property rights or confidential information.

Nothing herein creates a partnership, joint venture, agency, or employment relationship between you and Neptune Technologies Inc. or any of its subsidiaries.
